Directors’ Duties and the Function of the Board [SMULA Seminar]

Our directors, Mr Mark Lee and Ms Sarah Yeo, recently spoke at SMULA (Singapore Management University Law Academy) on the topic of “Directors’ Duties and the Function of the Board”.

During the seminar, we covered the various sub-species and/or permutations (in practice) of directorship in Singapore and examined the jurisprudence on the scope of directors’ duties traversing the areas of fiduciary duties. We also examined a director’s duty of care, skill and diligence touching on a director’s “minimum objective standard of care” to “place oneself in a position to guide and monitor the management of the company…”.

This session is part of the SMU Law Academy “Recent Highlights” series which is taught by “leading and experienced experts curated from academia and practice”.
