Seminar Description: An overview of how the issue of directors’ duties and shareholders’ rights play out within the context of a corporate group especially where there are overlapping circles of common directors and shareholders. Participants can also expect to acquire a basic understanding of how the concept of the separate legal entity applies within a corporate group and when/how a parent company may be liable for the conduct of its subsidiaries.
